Dear Colleagues:

The Nathan Cummings Foundation is seeking additional signatories for a letter (attached) to Duke Energy requesting that the Company convene a special committee of independent directors to (1) investigate the facts and circumstances behind the recent criminal investigation launched by federal prosecutors into the massive coal ash spill at a Company plant and the resulting subpoenas relating to the spill and any payments made by the Company to the McCrory administration’s Department of Environment and Natural Resources and (2) provide a preliminary report to shareholders at the Company's May 2014 annual meeting.

We believe it is critical that the Board respond to the spill and related developments with an independent investigation and clear recommendations to improve future management of potential risks to long-term shareholder value.

If your fund holds shares of Duke Energy, please do let us know by COB on Thursday, March 13 if your fund is able to join us in signing this letter to Duke.  If so, please provide us with the name and title of the person signing on behalf of your organization and an indication of your fund’s AUM for aggregation with other signatories.  We plan to do a press release associated with the letter on Monday, March 17.
